Graphtec – Terms & Conditions of Business

(Trading as Graphtec, a division of RGB Colour (Pvt) Ltd – Zimbabwe)

By placing an order with Graphtec (“we”, “our”, “us”), you (“the customer”, “you”) agree to the following Terms and Conditions of Business.

1. Orders

1.1 Orders may be placed via our website, email, WhatsApp, or authorised sales representatives.
1.2 All quotations are valid for 7 days only, unless otherwise stated.
1.3 Prices are subject to change due to exchange rate movements, supplier pricing, fuel costs, and import conditions.
1.4 Delivery and courier fees are calculated based on weight, destination, and prevailing fuel surcharges.
1.5 Orders are confirmed only once:

  • Full cleared payment is received; or
  • EFT/mobile/bank transfers reflect in our account.

1.6 Proof of payment alone does not constitute confirmation.
1.7 All orders are subject to availability of materials, imported stock, and consumables.

2. Currency & Pricing

2.1 Prices may be quoted in USD, ZWL, or another agreed currency.
2.2 Where prices are quoted in ZWL, they are subject to prevailing exchange rates at time of payment.
2.3 Graphtec reserves the right to reprice orders if:

  • Payment is delayed;
  • Exchange rates fluctuate materially;
  • Input costs increase unexpectedly.

2.4 Where applicable, statutory taxes and duties will be charged separately.

3. Artwork & Proofs

3.1 Customers must supply accurate, print-ready artwork where required.
3.2 Basic artwork preparation may be provided at Graphtec’s discretion.
3.3 Digital proofs will be supplied for approval prior to production.
3.4 Production will not commence without written approval.
3.5 Once approved, Graphtec is not responsible for spelling, layout, content, or design errors.
3.6 Customers warrant that supplied artwork does not infringe intellectual property rights.

4. Production & Turnaround

4.1 Production begins only after cleared payment and proof approval.
4.2 Turnaround times are estimates and depend on:

  • Power availability
  • Fuel supply
  • Material imports
  • Equipment uptime
  • Labour availability

4.3 Graphtec is not liable for delays caused by load shedding, generator failure, fuel shortages, border delays, or supplier disruption.
4.4 Priority orders are subject to availability and may incur surcharges.

5. Delivery & Collection

5.1 Delivery may be arranged via third-party couriers or customer collection.
5.2 Risk passes to the customer upon dispatch or collection.
5.3 Customers are responsible for inspecting goods upon receipt.
5.4 Claims for transit damage must be reported within 48 hours.
5.5 Graphtec is not liable for courier delays, border holds, or customs clearance issues.

6. Payment

6.1 Accepted payment methods include:

  • Bank transfer
  • Mobile money (EcoCash, OneMoney, etc., where applicable)
  • Cash deposit
  • International transfer (subject to charges)

6.2 All bank and transfer fees are for the customer’s account.
6.3 Production will not commence until funds are fully cleared.
6.4 Outstanding balances may result in work suspension.

7. Returns, Cancellations & Refunds

7.1 Custom-produced goods are non-returnable.
7.2 Cancellations after proof approval are not permitted.
7.3 Defective goods must be reported within 5 working days.
7.4 Claims must include photographic evidence.
7.5 Remedies are limited to replacement, reprint, or refund at Graphtec’s discretion.
7.6 Administrative and banking charges may be deducted from authorised refunds.
7.7 Graphtec is not liable for:

  • Approved artwork errors
  • Colour variation
  • Substrate variation
  • Fabric batch differences
  • Normal production tolerances

8. Credit & Accounts (Where Applicable)

8.1 Credit facilities are granted at Graphtec’s discretion.
8.2 Credit approval does not waive payment obligations.
8.3 Overdue accounts may attract interest and collection costs.
8.4 Graphtec reserves the right to suspend services for overdue balances.

9. Limitation of Liability

9.1 Graphtec’s maximum liability is limited to the invoice value of the affected goods.
9.2 Graphtec is not liable for:

  • Loss of business
  • Loss of profit
  • Missed deadlines
  • Reputational damage
  • Indirect losses

10. Intellectual Property

10.1 Customers retain ownership of supplied artwork.
10.2 Graphtec retains ownership of internal layouts, templates, and production processes.
10.3 Customer materials may not be reused without permission.

11. Force Majeure

11.1 Graphtec shall not be liable for non-performance due to:

  • Power outages
  • Fuel shortages
  • Currency controls
  • Import restrictions
  • Political unrest
  • Natural disasters
  • Pandemic-related disruptions

11.2 In such cases, performance timelines may be extended or orders cancelled with refund where applicable.

12. Governing Law

12.1 These Terms are governed by the laws of Zimbabwe.
12.2 All disputes fall under Zimbabwean court jurisdiction.
12.3 Arbitration may be pursued by mutual agreement.

13. Amendments

13.1 Graphtec reserves the right to amend these Terms at any time.
13.2 Updated Terms will apply to all future orders.
